BlackSeaChem EOOD is a distribution partner in Bulgaria.
These Terms of Service ("Terms") govern access to the website and B2B offerings of BlackSeaChem EOOD ("we," "us," or "BlackSeaChem") located at https://blackseachem.com. By using our site or engaging us for supply, you agree to these Terms.
Certain commercial or logistics touchpoints in Bulgaria may be supported through BlackSeaChem EOOD, an authorized distribution partner. Contractual responsibility for platform coordination remains with BlackSeaChem EOOD unless a separate agreement identifies another entity.
1. Eligibility and use
Our products and services are offered exclusively to qualified business, institutional, and professional buyers engaged in lawful research. You represent that you have authority to bind your organization and that purchases will be used in compliance with applicable laws and internal policies.
2. Research-only positioning
Unless a separate written agreement expressly states otherwise, materials are supplied for laboratory research use only. They are not intended for human consumption, in-vivo use in humans, cosmetics, foodstuffs, or veterinary applications without appropriate regulatory authorization. You are solely responsible for lawful use in your jurisdiction.
3. Orders and quotations
Quotations are invitations to treat. A contract is formed when we confirm acceptance of a purchase order in writing (including email) or when we ship in accordance with agreed Incoterms and payment terms. Specifications, lead times, and pricing may be revised if raw material availability or regulatory context changes before acceptance.
4. Payment and credit
Payment terms are as stated on invoices or master agreements. We may require advance payment or letters of credit for new accounts or custom programs. Late payments may incur statutory interest where permitted by law.
5. Intellectual property
Site content, marks, and documentation remain our property or that of our licensors. Custom synthesis deliverables are licensed for your internal research purposes unless a separate assignment is executed.
6. Limitation of liability
To the fullest extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of any order shall not exceed the fees paid for that specific order in the twelve months preceding the claim.
7. Governing law
These Terms are governed by the laws of Bulgaria, without regard to conflict-of-law rules, unless mandatory consumer or commercial rules of your jurisdiction apply to you as a business purchaser. Courts in Bulgaria shall have non-exclusive jurisdiction, subject to any mandatory venue rules.
